1. Scope

Our terms apply to all orders placed via our online shop.

These Terms also apply to businesses for future commercial relations without the need for any formal expression thereof. We cannot accept the contractual validity of any conflicting or complementary general terms and conditions used by any business, unless they are expressly approved by us.

By placing the products in the online shop, we make a binding offer on our part to enter into a contract regarding those items. You may place our products in the shopping basket and amend your entries at any time prior to submitting your binding order by using the correctional tools that are provided for this purpose and explained during the ordering process. The contract is created by clicking on the order button which indicates your acceptance of our offer concerning the goods contained in the shopping basket. Once you have sent your order you will immediately receive a confirmation via e-mail.

3. Contract language, saving of the contract text

The language(s) available for concluding the contract: German, English, Polish

We save the text of the contract and forward the order data and our Terms and Conditions to you on a durable medium (i.e. email). You may also view the text of the contract in our customer login area.

4. Delivery conditions

Delivery costs may apply to the product prices displayed. Further information on delivery costs, if applicable, are explained within individual product offers.

We only dispatch goods en route; pick up by the customer is not possible.

We do not deliver to a parcel locker.

5. Payment

The following payment methods are available in our online shop.

  1. Bank transfer: Minoti accepts quick transfers made through Stripe (card payment). The payment operation takes place between the Customer and the selected payment operator.
  2. Payment card: The Customer must have a card that allows them to make online payments. Payment by card is made through Stripe. The payment operation is made between the Customer and the operator of the Customer's card.

6. Right to cancel

1. You are entitled to rescind the sales contract within 30 days without cause

2. The cancellation period will expire 30 days from the day on which you (or a third party designated by you) acquire physical possession of the goods.

3. To exercise the right to cancel, you must inform us (Minoti Sp. z o. o., Grochowska 306/308, 03-844 Warszawa , Poland Email: cs@minoti.com, Phone: +48 22 2955099) of your decision to cancel this contract by a clear statement (e.g. a letter sent by post or an e-mail). You may use the attached model cancellation form, but this is not obligatory.

4. You can electronically fill in and submit the model cancellation form, or any other clear statement, on our website www.minoti.com. If you use this option, we will send you an acknowledgement of receipt of cancellation on a durable medium (e.g. by e-mail) without delay.

5. In order to meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the 30 day cancellation period has expired.

6. If you cancel this contract, we will reimburse all payments received from you, including the costs of delivery (except for any supplementary costs that arise if you choose a form of delivery other than the standard delivery offered by us), without undue delay, and within a maximum period of 14 days from the day on which we are informed about your decision to withdraw from this contract. We will reimburse you using the same means of payment used for the initial transaction, unless you have expressly requested otherwise. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

7. You are requested to send back the goods or hand them over to us or M.W. Sp. z o.o. (Logistyczna 1, 69-100 Świecko, Poland), without undue delay, and in any event no later than 14 days from the day on which you communicate your cancellation of this contract to us. 

8. You are only liable for any diminished value of the goods, if that diminishment results from any handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

9. Minoti states that it does not reimburse the costs of delivering returned goods to us or MW Sp. z o.o.

7. Retention of title

The goods shall remain the property of Minoti S. z o.o. until full payment is made.

For businesses, the following applies additionally: We reserve ownership of the goods until the complete settlement of all claims arising from a current business relationship. You may resell reserved goods in ordinary business operations; you shall assign any claims arising from this resale – irrespective of connecting or mixing of the reserved goods with a new item - in the amount of the invoice amount to us in advance, and we accept this assignment. You remain authorised to collect the claims; however, we may likewise collect the claims ourselves, should you fail to fulfil your payment obligations.

8. Damage during delivery

For consumers the following applies: If the goods are delivered with obvious damage caused during delivery, please report the defect to the carrier and notify us without delay. Failure to make a complaint or to make contact does not in any way affect your legal rights or the enforcement of such rights, notably your warranty rights. However, in doing so you help us to assert our own claims against the carrier or transport insurer.

9. Warranty and guarantees

We are under a legal duty to supply products that are in conformity with this contract. For consumers, statutory warranty rights governed by the law of the country of the consumers habitual residence apply. Information on any additional guarantees and their precise conditions that may apply can be found next to the product and on specific information pages in the shop, if applicable. When you exercise your warranty rights and we deem it necessary to receive the goods back in order to examine your complaint, you must send back the goods, at our expense, to the address given above. If, because of the kind of good/s or the manner of its assembly, it would be excessively difficult for the buyer to deliver the good/s, the buyer shall be obliged to render them available for the seller at the place at which they are located.

For businesses Polish law applies; the provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) are excluded.

For businesses, public-law legal entity or special public-law fund, the exclusive legal jurisdiction for all disputes regarding contractual relationships between you and us is our registered office.
